Terms of Service

Draft — pending legal reviewThese Terms of Service (“Terms”) govern your access to and use of YourCM.ai (“Service”), operated by YourCM, Inc. (“YourCM,” “we,” “us”). By using the Service, you agree to these Terms.
Section 1 — Eligibility
You must be at least 18 years old and able to enter into a binding contract to use YourCM. By creating an account, you confirm you meet these requirements.
Section 2 — Account Registration
To access certain features, you must create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You may not share your account, transfer it, or use someone else's account without authorization.
Section 3 — Subscription & Billing
Some features of YourCM require a paid subscription. By subscribing, you agree to:
- Pay all fees associated with your selected plan
- Provide a valid payment method
- Authorize recurring monthly charges until you cancel
- Receive invoices and receipts via email
Subscription fees are billed in advance. We will notify you of price changes at least 30 days before they take effect.
Section 4 — Refunds
Subscription Refunds: Subscription fees are non-refundable except where required by law. You may cancel your subscription at any time, and your account will remain active until the end of the current billing period.
One-Time Service Refunds: Per-Service Add-Ons (Essential, Plus, and Premium packages; expert-curated reviews; custom board presentations; pre-construction site walks) are refundable within 7 days of purchase if work has not yet begun. Once a CM has started reviewing your materials, fees are non-refundable.
If you experience a technical issue that prevents you from using a paid feature, contact matt@yourcm.ai and we will work to resolve it, including refunds at our discretion.
Section 5 — Acceptable Use
You agree not to:
- Use YourCM for illegal purposes or in violation of these Terms
- Upload content you don't have rights to share
- Attempt to reverse engineer, scrape, or copy YourCM's software
- Share AI outputs in ways that misrepresent them as professional engineering, architectural, or legal advice
- Resell YourCM's services without written authorization
- Upload malicious code or attempt to compromise our systems
We reserve the right to suspend or terminate accounts that violate these terms.
Section 6 — Intellectual Property
YourCM owns all rights to the Service, including the software, design, content, and AI models. You retain ownership of documents you upload.
By using YourCM, you grant us a limited license to process your documents for the purpose of providing the Service. We do not claim ownership of your content.
AI outputs generated for you (scope reviews, project plans, RFIs) are yours to use without restriction, subject to the Disclaimers.
Section 7 — Confidentiality
We treat your project information as confidential. We will not share your specific project details, contracts, or scopes with other customers, contractors, or third parties without your consent.
Section 8 — Termination
You may close your account at any time by emailing matt@yourcm.ai. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that harms YourCM or its users.
Upon termination, your access to the Service ends. We will delete your data per our Privacy Policy retention schedule.
Section 9 — Disclaimers
YourCM is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Section 10 — Limitation of Liability
To the maximum extent permitted by law, YourCM's total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater. YourCM is not liable for indirect, consequential, special, or punitive damages.
Section 11 — Indemnification
You agree to indemnify and hold harmless YourCM and its officers, directors, employees, and agents from any claims arising from your use of the Service, your content, or your violation of these Terms.
Section 12 — Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
Before filing a lawsuit, you agree to first attempt to resolve the dispute by contacting us at matt@yourcm.ai.
Section 13 — Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email and updated “Last updated” dates. Continued use after changes constitutes acceptance.
Section 14 — Entire Agreement
These Terms, together with our Privacy Policy and Disclaimers, constitute the entire agreement between you and YourCM regarding the Service.
